By accessing and using the TruMedica platform, including our website, mobile applications, and all related services, you agree to be bound by these Terms of Service. If you do not agree to these terms in their entirety, you are not authorized to use our platform or services. These terms constitute a legal and binding agreement between you and TruMedica LLC regarding your access to and use of our platform.
The TruMedica platform is intended exclusively for qualified healthcare practitioners and authorized business entities in the healthcare supply industry. By using our platform, you represent and warrant that you meet all eligibility requirements. All accounts and access privileges are subject to review and approval by TruMedica LLC. We reserve the right to verify your credentials, qualifications, and authorization status at any time. Failure to maintain eligibility requirements may result in immediate suspension or termination of your account.

You are solely responsible for maintaining the confidentiality of your account credentials, including usernames and passwords. You agree not to share your credentials with any third party and to notify us immediately of any unauthorized access or security breach. You are fully responsible for all activities that occur under your account. TruMedica reserves the right to suspend or terminate any account that violates these terms or engages in fraudulent, abusive, or unauthorized activity.
The TruMedica platform is licensed to you for authorized business use only. Permitted uses include ordering products, viewing our product catalog and pricing information, managing your account settings, processing transactions, and conducting business communications through our platform. You agree not to engage in prohibited activities including but not limited to unauthorized access to our systems, attempting to bypass security measures, scraping or automatically collecting data, reverse engineering our platform, reselling access without authorization, circumventing pricing or terms of service, or using the platform for any illegal or fraudulent purpose. Violation of these restrictions may result in immediate termination of your account and legal action.
All orders placed through the TruMedica platform are subject to acceptance by TruMedica LLC. We reserve the right to refuse or cancel any order, including those that appear to be fraudulent, in violation of our terms, or outside the scope of authorized use. Product pricing is subject to change without notice, and pricing reflects our standard wholesale rates subject to your account agreement. Payment terms, including net periods and credit limits, are determined individually per account agreement and subject to verification of your business status. Cancellation of orders may be permitted only in accordance with the cancellation policy outlined in your account agreement. Requests to cancel orders must be submitted within the specified timeframe and are subject to restocking fees and other applicable charges.
All product descriptions, specifications, images, and pricing information on the TruMedica platform are provided for informational purposes only and do not constitute medical advice. TruMedica LLC does not provide medical recommendations or guidance regarding product use. You are solely responsible for ensuring compliance with all applicable pharmaceutical laws, regulations, and licensing requirements in your jurisdiction. Products are available only to qualified practitioners operating within the scope of their applicable licenses and credentials. You acknowledge that you have the proper qualifications, licenses, and authorization to purchase and use all products ordered through our platform.
All content on the TruMedica platform, including but not limited to text, graphics, logos, images, software code, and documentation, is the exclusive property of TruMedica LLC or its licensors and is protected by applicable copyright, trademark, and intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the platform solely for your authorized business purposes. Reproduction, modification, distribution, transmission, or any other use of our content without prior written consent from TruMedica LLC is strictly prohibited. Any unauthorized use of our intellectual property rights will result in immediate termination of your access and may expose you to legal liability.
To the maximum extent permitted by law, TruMedica LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunity, arising from or related to your use or inability to use the platform, even if TruMedica has been advised of the possibility of such damages. The total liability of TruMedica LLC for any claim arising from these terms or your use of the platform shall not exceed the fees paid by you in the twelve months preceding the claim. Some jurisdictions do not allow the limitation of liability, so this limitation may not apply to you.
You agree to indemnify, defend, and hold harmless TruMedica LLC and its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, and expenses, including reasonable attorneys' fees, arising from or related to your violation of these terms, your misuse of the platform, your unauthorized access to systems, your violation of any law or regulation, or any other breach of this agreement. This indemnification obligation applies regardless of whether TruMedica has been notified of the potential liability.
These Terms of Service are governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law principles. The exclusive jurisdiction for any legal action or proceeding arising from these terms shall be in the courts located in London, England. You agree to submit to the exclusive jurisdiction of these courts and waive any objection regarding venue or inconvenient forum.
TruMedica LLC reserves the right to modify these Terms of Service at any time without prior notice. Changes become effective immediately upon posting to the platform. Your continued use of the TruMedica platform after any modification constitutes your acceptance of the updated terms. We encourage you to review these terms regularly to stay informed of any changes. If you do not agree to the modified terms, you must discontinue your use of the platform immediately.
